Contract Law

Principle 1: Acceptance must be unequivocal
This essentially means that there must be nothing left to be negotiated by the parties.

Contract Law

Principle 2: Acceptance must mirror the offer
The acceptance must correspond exactly with the offer in order to be valid and form a binding contract. A response that does not reflect to the the offer is mainly considered as a counter offer as per Hyde V Wrench.

Contract Law

Principle 3: Acceptance must be communicated
If the acceptance  is by post, then the postal rule must be assessed as derived in the case of Adams V Lindsell. It is accepted that the offeree has fulfilled his obligation by posting the letter. The offeror in accepting to communicate by post, therefore accepts the responsibility that for the potential that the letter may not arrive.

This rule applies even if the letter has been destroyed, delayed or lost.

Contract Law

Adams V Lindsell
The postal acceptance rule applies even if the letter is destroyed, delayed or lost. A valid contract had been formed at the moment that the letter of acceptance had been placed in the post box. The rule applies when the parties have agreed to communicate by post, and when the letters have been correctly addressed and stamped.

Contract Law

Silence
The offeror cannot state that the offeree's silence qualifies as acceptance. It must be communicated. This was demonstrated in the case of Felthouse V Bindley were it was inferred that silence cannot amount to acceptance.

Contract Law

Exception to silence
Silence can qualify as acceptance if it is accompanied by conduct. This is a form of implied acceptance, which is gathered by examining the whole course of conduct of the parties.

Contract Law

Brogden V Metropolitian Railway
Acceptance was never communicated but the companies continued to do business with each other. A valid contract was found because acceptance was inferred from the continued performance of contract without any objection as to its terms.

Contract Law

Which of the following best describes an invitation to treat?
There is room for negotiation

Contract Law

Reasons why advertisment should be considered as invitation to treat: Seller discretion
If advertisements were construed as an offer, the seller would have no discretion as to who they choose to sell to. For example, this can cause issues that a seller may not want to sell large amounts of alcohol to a younger individuals.

Contract Law

Reasons as to why advertisments should be considered as an invitation to treat: Free promotion of goods without liability
Goods which are wrong marketed would have have to be sold at the price they were advertised for. This is unfair for the sellers.

Contract Law

Auction
Where an auction is "without reserve" (i.e. there is no minimum priced bid required to win the auction) each bid is an offer and whne the auctioneer ends the bidding (by banging the hammer), this is the acceptance.

Contract Law

Ramsgate Victoria Hotel V Montefiore
6 months was seen as a sufficient lapse of time due to the subject matter of the contract. The contract was for the sale of shares; naturally, the price of the shares is volatile and the possibility of a significant change in price is high, therefore it is sensible for the courts to apply the lapse of a reasonable period of time.
