The corporate governance framework consists of

(1) explicit and implicit contracts between the company and the stakeholders for distribution of responsibilities, rights, and rewards

(2) procedures for recognizing conflicting interests of stakeholders in accordance with their duties, privileges, and roles, and regulation role of supervisory board

(3) procedures for proper supervision, control, and information – flows to serve as a system of checks-and-balances

Operational Perspective:

CG seen as a system by which companies are directed and controlled
- close to the management definition: direction and control seen as a system
Boards of Directors are responsible for the governance of their companies 
Shareholders role in governance is to appoint the directors and the auditors

CG deals with the way suppliers of finance assure themselves of getting a return on their investment (ROI, invested money I secure and shares are growing)

– lays down the rules and procedures for decision making

Corporate Governance involves the relationship among various participants, including the CEO, management, shareholders, and employees, in determining the direction and performance of the corporation

CG is about the activities of the board and its relationship with the shareholders and members, and with those managing and working in the enterprise, as well as with the external auditors, regulators, and other legitimate stakeholders (e.g. suppliers, customers)
